1 Scope

These Terms of Use (“TOU”) apply to the use of the website operated by MantaFlow Finance AG (“MantaFlow”). www.mantaflow.ch (“Website”).
MantaFlow is registered in Switzerland and is based at MantaFlow Finance AG, Gotthardstrasse 26, 6300 Zug, Switzerland. By visiting this website, the user (“User”) accepts the present TOU.
This TOU also incorporates by reference MantaFlow’s privacy policy (“Privacy Policy”), which can be found here. For the use of other services of MantaFlow (“Services”), in particular the factoring services, you must accept additional terms and conditions.
By accessing this website and the associated pages, you declare that you have understood and agree to the following terms of use and legal information. If you do not agree with the following terms of use, please refrain from accessing this website and its pages.
MantaFlow reserves the right to change these NBS at any time. The amended NBS enter into force upon their publication on the website.

2 Registration

The customer must register or set up an account in order to access and use the services or part of the services. Each customer may only register one account on the platform.
By registering, the customer guarantees that it is a legal entity that has been validly established under Swiss law and has its registered office in Switzerland.
The registering user must be a natural person who is authorized to represent the customer in a legally binding manner. This also applies to any natural person who performs actions on the platform on behalf of the customer.
The customer is obliged to provide accurate, up-to-date and complete information when registering and to keep their account information up to date. If the customer’s details change, the customer is obliged to update them immediately. MantaFlow may from time to time ask the Customer to confirm the accuracy of its information and request additional documentation. Admin accounts that are controlled by the customer are responsible for the associated customer accounts. Accounts registered using bots or automated methods are not permitted and will be blocked.

3 Customer rating

MantaFlow may make a Customer’s full access to the Platform subject to its prior approval, set minimum participation criteria for the use of the Services at its sole discretion and assess the Customer’s compliance with the minimum participation criteria for the use of the Services.
MantaFlow is entitled, but not obliged, (i) request identification or other information from the customer, (ii) carry out checks to verify the identity or background of the customer; and (iii) match the customer with third party databases or other relevant sources to the extent permitted by law. For the avoidance of doubt, MantaFlow may in particular, but not exclusively, obtain credit information and statements regarding debts from third parties and authorities.
MantaFlow may refuse, suspend or delete the registration of a Customer at its sole discretion at any time and without giving reasons. The blocking of the customer account and the rights to use the services may include the deletion and removal of all listed invoice claims (as defined below) from the platform. However, such suspension shall not release the Customer from any warranties, representations and other obligations or liabilities to MantaFlow.
A suspended Customer Account may be reactivated and use of the Services enabled if MantaFlow determines, at the Customer’s request and in its sole discretion, that the reasons for the suspension no longer exist.

MantaFlow is the owner or licensee of all intellectual property rights provided on this website (the “Content”). The content is protected by intellectual property laws and treaties around the world. All rights in the Content are reserved by MantaFlow.
The User is granted only a limited license, subject to the restrictions provided in these Terms, for the purposes of viewing, using and accessing this Website. User may not use any portion of the Site Content for commercial purposes without obtaining a license to do so from MantaFlow or MantaFlow’s licensors.
All MantaFlow trademarks, service marks, trade names, logos, domain names and all other MantaFlow brand features are the sole property of MantaFlow or MantaFlow’s licensors. NBS does not grant users any rights to use such brand features, either for commercial or non-commercial purposes.

5 Liability

The website may contain links to third-party websites. Such sites are not operated or monitored by MantaFlow. MantaFlow assumes no liability for the content of linked sites or for third party compliance with data protection laws.
MantaFlow’s liability under these NBS, whether in contract, tort or any other theory of liability, is excluded to the maximum extent permitted by applicable law.
